Preside at all meetings of WWA without financial compensation
Provide leadership in assuring the Board maintains the operational integrity of WWA;
Provide leadership in meeting the policy and governance needs of WWA;
Oversee the timely completion of the work of the Executive Committee;
Deliver a summary of WWA ‘s general condition and operational health at the annual fall business meeting;
Work with the WWA Secretary in development of an agenda for each Board meeting;
Work collaboratively with Executive Director in a consulting capacity regarding program activities.
Act as WWA’s representative to the media when needed;
Respond to public inquiries about WWA’s work and programs
Perform other duties that the Board may assign or deem appropriate
Vice-President
Assume and perform all the duties and functions of the President in the absence or disability of the President without financial compensation;
Assist the President as needed in meeting policy and governance needs of WWA.
Work with Secretary in development of an agenda for Board meetings;
Volunteer to serve on one committee or program activity;
Perform other duties that the Board may assign or deem
Secretary
Assume and perform all the duties and functions of Secretary without financial compensation
Keep true and accurate records of all meetings;
Prepare and distribute a draft copy of minutes to all board members within thirty days following any board meeting;
Prepare board meeting agendas with input from President and Board;
Distribute meeting agenda and all relevant committee reports to board members ten days prior to regular board meetings;
Maintain current copies of WWA Constitution, Bylaws, Roberts Rules of Order and Standing Rules which includes all the above, job descriptions and policies and procedures;
Assume the role of Vice President in the absence of a person assigned to that role;
Perform other duties that the Board may assign or deem appropriate or needed regarding compliance with WWA’s 501(c)3 status with the State.
Treasurer
Receive all monetary income and maintain an accurate accounting of all expenditures of WWA
Act as disbursing officer of WWA with the approval of the Executive Committee;
Work with Secretary in development of agenda for Board meetings;
Report the financial condition of WWA at each regular meeting of the board;
Chair the annual Budget Committee consisting of Executive Committee and Executive Director;
Present a budget for each fiscal year at the annual fall business meeting;
Conduct an annual audit to be presented to all board members during annual board meeting;
File necessary tax forms with the IRS;
Perform other duties that the Board may assign or deem appropriate for the role
Board Member
To be considered for a WWA board member position, an individual must:
Have been a WWA member in good standing for at least one year;
Understand that WWA may review their public record;
Conduct themselves in a professional and ethical manner when participating in the work of the WWA;
Refrain from any activity that could in any way harm the integrity of the WWA or risk its nonprofit status with the State of Wisconsin;
Be expected to attend board meetings unless excused by the President;
Participate in e-mail board meeting discussions and vote regarding motions presented to the board for decision;
Accept one assignment in the interest of leading the work of the WWA (serve on a committee, actively participate in a project or program, volunteer at a WWA event, etc.).
